An annual confirmation is required in respect of any of the following:
- Jersey incorporated companies
- Foundations
- Limited liability companies
- Limited liability partnerships
- Limited partnerships
- Incorporated limited partnerships
- Separate limited partnerships (entity)
The deadline for submitting an annual confirmation is 28 February 2025 along with payment of the annual confirmation filing fee of £220 (per entity).
Any entity which fails to submit the confirmation by this date will incur late filing penalties, which increase on a monthly basis. Should the annual confirmation not be filed by 30 September 2025, the company may be struck off on 1 October 2025.
When completing the annual confirmation, you will be required to provide details of any changes to company officials, or their personal details. You may be asked to upload copies of photo ID and address verification in support of any changes.
Most common changes are as follows:
- Changes to directors – appointments and resignations
- Change of company secretary
- Change of ownership – member and/or Ultimate Beneficial Owner
- Change of address for an official of the company
Please note that there is a requirement to advise the JFSC of any changes to company officials, or their personal details within 21 days of the knowledge of the change. You can do this by completing the relevant form in the myRegistry portal on the JFSC website at any point during the year.
Another annual requirement is to renew the company with Jersey Office of the Information Commissioner (JOIC) by 28 February 2025. This is in respect of data protection and can be completed on the JOIC website. All companies in Jersey are required to register annually along with payment of the annual fee of £70.
